Terms of Sale

These Terms of Sale (the ‘Terms of Sale’) govern the sale by Techmart FZCO of Epson service products, such as CoverPlus (the ‘Service’) made available through www.epson.ae and any related local or regional online pages, interfaces, or applications through which such services are offered (the ‘Store'). By placing an order for a Service through the Store, you confirm that you have read, understood, and accepted these Terms of Sal.

1. About the Seller

For all orders placed through the Store for the Service, Techmart FZCO is the sole seller of record and your contractual counterparty for the purchase transaction. Techmart is responsible for accepting orders, invoicing customers, collecting payment, handling permitted cancellations and refunds, and managing customer communications relating to the sale of the Service.

For the purposes of these Terms of Sale:

  • ‘Seller / we / us / our’ means Techmart FZCO, a company incorporated in the United Arab Emirates, with its principal place of business at S10915, South Zone 1, Jebel Ali Free Zone, Dubai, United Arab Emirates.
  • ‘Customer / you / your’ means any end customer purchasing a Service through the Store for personal use or internal business use and not for resale.
  • ‘Service’ means an activation code, service pack, extended warranty package, service plan, or similar intangible service offering made available through the Store for eligible products.
  • ‘CoverPlus Warranty Terms’ means the separate CoverPlus terms and conditions, service-level descriptions (including any CoverPlus Service Level Guide), warranty terms, registration and activation requirements, and any applicable promotion terms issued by Epson or the relevant Epson group company and published or provided together with these Terms of Sale, which govern the Service itself, currently available at: https://cdn-eu.aglty.io/epson/legal/coverplus-warranty-terms-and-conditions/Epson_EME_Coverplus_Warranty_Terms_October_2024.pdf
  • ‘Epson’ means the relevant Epson group company identified in the CoverPlus Warranty Terms as the contracting party for the Service following successful registration. For clarity, your contract relating to the purchase of the Service through the Store is with the Seller under these Terms of Sale, while your contract relating to the performance of the Service is with Epson under the CoverPlus Warranty Terms and arises only as described therein.

2. Scope and Order of Documents

These Terms of Sale apply only to the sale transaction for the Service through the Store.

The CoverPlus Warranty Terms govern the service itself, including eligibility, scope of cover, registration, activation, service levels, exclusions, support process, performance standards, limitations, and service-related liability.

If there is any inconsistency between these Terms of Sale and the CoverPlus Warranty Terms, these Terms of Sale govern the sales transaction, payment, customer cancellation, and refunds by the Seller, while the CoverPlus Warranty Terms govern the service itself, to the fullest extent legally permissible.

Nothing in these Terms of Sale limits any mandatory consumer rights applicable under the law of the customer’s country of residence or the country for which the Service is sold, where such rights cannot lawfully be excluded.

3. Territory and Eligibility to Order

Orders may only be placed by persons legally capable of entering into binding contracts under applicable law. The Store is intended for the purchase of the Service within the countries listed in Annex 1 (the “Territory”). Orders from locations outside the Territory may be rejected.

The Service (including CoverPlus) is valid and may be used only in the country in which it was purchased, and service provision remains subject to applicable country-specific conditions and eligibility requirements. Attempting to use or register a CoverPlus Service purchased in one country in a different country will be invalid and no service will be provided. Epson’s decision as to the country of use is final

Orders may be refused or cancelled where there is suspected fraud, misuse, resale, duplicate or excessive purchases, or incompatibility or ineligibility, subject always to any mandatory rights that cannot lawfully be excluded.

Products and Services sold through the Store are intended for end use only and may not be purchased for resale, commercial redistribution, export outside the intended Territory, or onward supply to third parties unless expressly permitted by the Seller in writing.

Where mandatory consumer protection rules in the country of residence of the customer or in the country for which the Store is targeted grant longer withdrawal periods, additional remedies, or stricter information requirements, those rules will apply in addition to these Terms of Sale and will prevail in case of conflict to the extent required by law.

4. Formation of Contract

When you complete the checkout process and submit your order, you make an offer to purchase the selected Service from the Seller.

After submission, you will receive an order acknowledgement by email. This acknowledgement confirms receipt of your order request only and does not mean that your order has been accepted.

Acceptance occurs only when the Seller sends you a confirmation that the order has been accepted and the Service, activation code, digital entitlement, or other fulfilment details have been issued or made available to you, at which point a binding contract is formed between you and the Seller.

If we are unable to accept your order, we will inform you and will not charge you, or will refund any amount already charged, as applicable.

The purchase contract under these Terms of Sale is separate from, and does not itself constitute, the service contract under the CoverPlus Warranty Terms. Where the CoverPlus Warranty Terms require registration, the Service contract with Epson is created only upon successful registration in accordance with those CoverPlus Warranty Terms.

5. Prices, Taxes and Payment

All prices displayed on the Store shall be in the currency shown at checkout and shall include or exclude VAT or similar indirect taxes as expressly stated on the Store for the relevant country.

Any applicable taxes, fees, or charges payable by the customer shall be displayed before the order is submitted.

We accept the payment methods displayed on the Store at checkout. By placing an order, you confirm that the payment details provided are valid and that you are authorised to use the chosen payment method.

Payment may be authorised at the time of order and captured in accordance with the payment workflow shown on the Store.

The Seller is the merchant of record and the sole recipient of customer payments for the Service orders placed through the Store.

We reserve the right to amend prices at any time before order acceptance. However, price changes will not affect accepted orders, except where there is an obvious and unmistakable pricing error that could reasonably have been recognised as such, in which case we may cancel the order and refund any amount already paid.

6. Fulfilment

Unless otherwise stated, the Service is fulfilled electronically by providing an activation code, registration entitlement, digital confirmation, or similar non-physical fulfilment mechanism. Certain Services also require registration on the Epson CoverPlus registration website using a valid CoverPlus security number, the relevant product serial number and the product purchase date.

Fulfilment times are estimates only and may be affected by payment verification, anti-fraud checks, system issues, or other operational controls.

You must notify customer service within a reasonable time if you do not receive the relevant fulfilment communication or if the fulfilment details supplied appear incorrect.

The Seller may require proof of purchase, device details, or other information reasonably necessary to investigate fulfilment issues.

Where registration is required under the CoverPlus Warranty Terms, purchase of a Service pack or activation code does not by itself complete activation of the Service or create the CoverPlus service contract with Epson. You must complete registration within the period specified in the CoverPlus Warranty Terms.

7. Cancellation Before Fulfilment

You may request cancellation of an order until fulfilment of the Service has started, meaning before the activation code, digital entitlement, or other fulfilment details have been issued or otherwise made available to you.

If your cancellation request is received in time and successfully processed, the order will be cancelled and any captured payment will be refunded to your original payment method.

Once fulfilment has started, the order can no longer be cancelled prior to delivery of the Service, unless mandatory law grants a non-waivable right to cancel.

Where the checkout flow asks you to expressly consent to immediate performance, activation, or digital fulfilment and to acknowledge any resulting loss or limitation of cancellation rights to the extent permitted by law, you agree that such consent and acknowledgement may be relied on by the Seller to the maximum extent permitted by applicable law.

8. Withdrawal, Cancellation and Refunds After Purchase

8.1 Subject to applicable mandatory law, you may request cancellation and a refund of the Service if all of the following conditions are met:

the request is made within fourteen (14) days of purchase;

the Service has not been redeemed, or used (for these purposes, ‘redeemed’ means the activation code has been entered on the CoverPlus registration portal, and ‘used’ means a service request or claim has been submitted under the CoverPlus Warranty Terms); and

no claim or service request has been made under it.

Where a refund is due under this clause, the Seller will process the refund within thirty (30) days of receiving the Customer’s cancellation request and confirming that the conditions in 8.1 are satisfied

8.2 Seller error or non-supply

If the Service is not supplied as purchased, is materially misdescribed by the Seller, or cannot be activated because of a fault attributable to the Seller, the customer may be entitled to a refund, re-performance, replacement code, or other appropriate remedy as required by applicable law.

8.3 Linked product cancellation

If a Service was purchased together with an eligible product and the underlying product purchase is validly cancelled or rescinded, the customer may request cancellation of the associated Service provided that it has not already been redeemed, or used, or unless cancellation is otherwise required by mandatory law.

9. How to Exercise Cancellation or Refund Rights

To exercise any cancellation or refund right, you must either use the ‘request a return’ option in your customer account on the Store or send the Seller the Cancellation Form by email or other contact channel made available on the Store (a model Cancellation Form is provided at Annex 2 to these Terms of Sale), with the required details, identifying your name, order number, date of purchase, the relevant Service, and sufficient information for us to identify the order.

To meet any cancellation deadline, it is sufficient for you to send your communication before the relevant deadline expires.

If a refund is due, the Seller will make it using the same means of payment you used for the original transaction, unless otherwise agreed or required by law.

10. Customer Responsibilities Relating to the Sales Transaction

You are responsible for providing accurate and complete information when placing your order, including your contact details and, where required for fulfilment or refund handling, the relevant product and purchase information.

If fulfilment, activation assistance, or cancellation handling is prevented or delayed because the information you supplied is inaccurate or incomplete, the Seller shall not be responsible for the resulting delay or inability to process the request, except to the extent mandatory law provides otherwise.

11. Promotions and Bundled Offers

Where a Service is offered as part of a promotion, bundle, or free-of-charge campaign, any such offer shall also be subject to the specific promotional terms made available on the Store or with the campaign materials.

Promotional eligibility, claim windows, registration deadlines, and proof-of-purchase requirements stated in such campaign terms must be satisfied in addition to these Terms of Sale and the CoverPlus WarrantyTerms.

If a free or discounted Service is granted conditionally upon the purchase or retention of another product and that underlying purchase is cancelled, returned, rescinded, or refunded, the associated Service benefit may also be cancelled or adjusted to the extent permitted by the applicable promotional terms and law.

12. Statutory Rights

Nothing in these Terms of Sale limits or excludes any mandatory consumer rights you may have under applicable law regarding non-performance, misdescription, refund rights, unfair terms, or other non-waivable protections.

Where the law of your country of residence or the country targeted by the relevant Store gives you mandatory rights that are more favourable than these Terms of Sale, those mandatory rights shall prevail to the extent required by law.

13. Limitation of Liability

Nothing in these Terms of Sale excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

Subject to that, and to the maximum extent permitted by law, the Seller shall not be liable for indirect, incidental, special, or consequential losses arising out of or in connection with the purchase transaction for a Service, except where such loss cannot lawfully be excluded.

This limitation concerns the sales transaction under these Terms of Sale only and does not restate or replace the liability regime governing the service itself under the CoverPlus Warranty Terms.

14. Data Protection

Personal data collected in connection with the sale of the Service through the Store will be processed in accordance with the applicable Privacy Information Statement.

Additional personal data may be required for activation or service delivery under the CoverPlus Warranty Terms and may be processed in accordance with the privacy statements made available during activation or registration.

15. Website Use and Intellectual Property

Your access to and use of the Store, including browsing and use of site content, is governed by the separate website terms of use and related legal notices made available on the website.

All intellectual property rights in the Store and related content are owned by the relevant rights holders and are not transferred to you by any purchase of a Service.

16. Governing Law and Dispute Handling

These Terms of Sale and any dispute or claim arising out of or in connection with your purchase of a Service from the Store shall be governed by the law of the country of purchase, without prejudice to any mandatory consumer protections that may apply under the law of your country of residence and cannot be contractually excluded.

If no country-specific governing-law statement is made on the relevant Store, these Terms of Sale shall be governed by the laws of the United Arab Emirates, subject always to overriding mandatory consumer laws applicable to the transaction.

Any disputes shall be submitted to the courts or consumer dispute forums having jurisdiction under applicable mandatory lawr.

Nothing in these Terms of Sale deprives a consumer of any mandatory right to bring a claim before the competent authority, consumer body, or court available under applicable law.

17. Language

These Terms of Sale may be made available in English and in one or more local-language versions.

If there is any inconsistency between language versions, the version required to prevail under applicable mandatory law shall prevail, and otherwise the English version shall control unless local law of the targeted country requires a different result.
